May / 2018 – May / 2018 – KEE advises SUSI Renewables 2 SARL on the Purchase of a Wind Farm in Ireland

The Hamburg based law firm KEE Rechtsanwälte has supported the investment company SUSI Renewables 2 SARL (advised by Swiss SUSI Partners AG) on the acquisition of a wind farm located in Tipperary, Ireland from the ABO Wind Group. The wind farm “Cappawhite B” consists of four Vestas V105 turbines with a total capacity of 13.2 MW.

KEE supported on the acquisition of the project as well as on the transfer of the project financing.

July / 2017 – Further Amendments in connection with the „Tenant Electricity Act“

On 29 June 2017, German Bundestag has passed some relevant amendments to the renewable energy act as part the “Tenant Electricity Act”. In brief:

750 kW-solar free field plants: As of 1 July 2018, the most recently commissioned of several 750 kW-solar free field plants shall, irrespective of their owners, be regarded as “one single installation” together with the other plants in case they were (i) constructed within the same municipality and (ii) commissioned within 24 calendar months and within a distance of two kilometers. Thus, topping up 750 kW-plants in yearly steps will come to an end.

No zoning plan? There is hope for solar plants which lost their feed-in tariff because they were commissioned before the relevant zoning plan resolution has been passed by the municipality (cf. Federal Supreme Court’s ruling from 18. January 2017). Such plants shall now be granted their statutory remuneration with future effect. This statutory “act of grace” shall also apply to existing plants.

Citizen Wind Farms:  Many of the privileges for citizen wind farms will be eliminated in the first two tender rounds of 2018. In particular, citizen wind farms will require a building and operating permit when submitting a bid. The uniform pricing principle will however remain: citizen wind farms will benefit from the highest bid that has been accepted in a tender round.

July / 2017 – KEE advises SUSI Renewables 2 SARL on the Purchase of a German Wind Farm Project from VSB Holding GmbH

The Hamburg based law firm KEE Rechtsanwälte has supported the investment company SUSI Renewables 2 S.à.r.l. (advised by Swiss SUSI Partners AG) on the acquisition of a German wind farm project with a capacity of 9.9 MW in Saxony-Anhalt. The project was sold by VSB Holding GmbH. The wind farm is equipped with Vestas turbines which were commissioned in late 2016. KEE has conducted the legal due diligence review of the project and advised on the transfer of the project company.

April / 2017 – KEE Rechtsanwälte („KEE“) supports Danish Momentum Gruppen A/S on the Repowering of a defective Photovoltaic Power Plant

Defective photovoltaic modules are an increasing industry problem and sometimes force plant operators to repower their whole installations. Momentum Gruppen A/S had to experience this, when in one of their North German plants all 22,000 photovoltaic modules showed sincere and even safety-endangering defects. In the following module exchange program, KEE supported  on all legal aspects which are of substantial importance in repowering cases: it is for instance required to provide sufficient evidence of the defectiveness to the grid operator, as it may otherwise become critical to transfer the feed in tariff applicable for the defective modules to the new modules. “Grid operators are sometimes more, sometimes less cooperative when it comes to repowering projects. However Clearingstelle EEG has set certain standards as to which level of evidence is required to proof the defectiveness of solar modules and such standards are widely accepted by the industry”, comments Kilian Libal, partner and lawyer with KEE. December / 2016 – KEE advises SUSI Renewables 2 SARL on the Purchase of the Obernwohlde Wind Farm’s Second Segment from BayWa r.e. Wind GmbH

The Hamburg based law firm KEE Rechtsanwälte has supported the investment company SUSI Renewables 2 S.à r.l. (managed by Swiss SUSI Partners AG) on the acquisition of the Obernwohlde wind farm’s second segment in Schleswig-Holstein. The project was sold by BayWa r.e. Wind GmbH. After commissioning of the remaining turbines, a total of 20 Enercon E101 turbines with a capacity of 61 MW will be connected to the grid. KEE has earlier provided legal advice on the purchase of the first segment. The scope of work comprised the legal due diligence review of the project as well as the transfer of the project companies.

September / 2016 – KEE advises ProVireo GmbH on the sale of a solar farm

The Hamburg based law firm KEE Rechtsanwälte has advised ProVireo GmbH on the sale of a solar farm project with a capacity of 3.49 MWp in Saxony-Anhalt. The power plant was acquired by a stock exchange listed power plant operator. The project was commissioned in 2012 and benefits from a feed in tariff of EUR-Cent 18.76 per kWh. The KEE team was led by Kilian Libal.

(advised by Swiss SUSI Partners AG) on the acquisition of a German wind farm project with a capacity of 18.3 MW in Schleswig-Holstein. The project was sold by BayWa r.e. renewable energy GmbH. The wind farm is equipped with Enercon turbines. The turbines were commissioned partly in 2015 and in 2016. KEE has conducted the legal due diligence review of the project and advised on the transfer of the project company.

The Hamburg based law firm KEE Rechtsanwälte has supported the investment companies SUSI Sustainable Energy S.à r.l. and SUSI Renewables 2 S.à r.l. (both advised by Swiss SUSI Partners AG) on the acquisition of several German wind farm projects with a total capacity of 20.8 MW. The projects were sold by development and construction company ABO Wind AG. The wind farms are equipped with Senvion and Nordex turbines. Commissioning of the wind farms was in the end of 2015. KEE has conducted the legal due diligence review of the projects and advised on the transfer of the project companies.

September / 2014 – KEE advises DZ BANK on the financing of three wind farm projects in Germany

The Hamburg law firm KEE Otto Feustel Libal Schumacher Partnerschaft von Rechtsanwälten mbB (KEE) has advised German DZ BANK AG Deutsche Zentral-Genossenschaftsbank, Frankfurt am Main (DZ BANK) on the financing of three onshore wind farm projects with an aggregate nominal power of approx. 66 MW. Commission of the wind farms will take place in the course of 2014. Each project is financed by a consortium of banks with DZ BANK acting as Lead Arranger. KEE’s comprehensive advice took place between Q/IV 2013 and Q/III 2014 and focused on financing, but also concerned questions of administrative and real estate law.

April / 2014 – KEE advises Power Capital on the purchase of a rooftop based solar farm in Markgröningen, Baden-Wuerttemberg

The Hamburg law firm Kanzlei für Erneuerbare Energien (KEE) has advised the Irish private equity firm Power Capital Limited on the purchase of a German rooftop solar farm with a nominal capacity of approx.. 1 MWp, located in the municipality Markgroeningen, Baden-Wuerttemberg. The solar farm was sold by Kokusai Europe GmbH. The construction has been realised by the Berlin based Geosol Gesellschaft für Solarenergie mbH. The solar plant has been commissioned on 29 October 2012. KEE has advised the purchase of the project company and its subsequent transformation from the legal form of a limited company (GmbH) into a private limited partnership (GmbH & Co. KG).

Power Capital is an Irish based private equity firm specialising in the energy market. Together with the project in Markgroeningen Power Capital currently manages photovoltaic plants in Germany with an overall capacity of approx.. 8.6 MWp.

January / 2014 – KEE advises CEE on the purchase of a 11.7 MW solar park in Gotha

October / 2013 – KEE advises HELABA on the Financing of a 20 Mwp Photovoltaic Project in Brandenburg, Germany

The Hamburg law firm Kanzlei für Erneuerbare Energien (KEE) has advised German Landesbank Hessen-Thüringen Girozentrale (Helaba) on the financing of a ground-mounted photovoltaic plant with a nominal power of approx. 20 MWp. Located in Brandenburg, the solar farm was commissioned in the third quarter 2012. The project was financed by a consortium of Banks with Helaba as the leading bank. KEE’s comprehensive advice focused on financing, but also concerned questions of energy industry and real estate law.

Helaba has been offering project finance in the area of renewable energy since the 1990s and could add to ist substantial Portfolio of German and international large power station projects another financing.

This was the first time KEE has worked with Helaba on the financing Transaction. In Terms of the loan amount, it was the year’s second largest financing project for KEE.

October / 2012 – KEE advises CEE on the purchase of a solar farm in Saxony

The Hamburg law firm Kanzlei für Erneuerbare Energien (KEE) has advised the Hamburg based equity Investment company CEE on the purchase of a solar farm. The solar farm Elsterheide is located in the municipalities of Elsterheide and Spreetal near Cottbus and has been in Operation since 2011. It was sold by the Sunowe-Group and it’s peak power is up to 20 Megawatt (MW).

The Transaction was legally advised by KEE’s Partners Dr. Mark-Oliver Otto and Maximilian Feustel.

January / 2012 – KEE advises CEE on the purchase of two further solar farms

KEE, a renewable energy law firm, has advised the Hamburg-based equity investment Company CEE on the purchase of two ground-mounted photovoltaic plants with an overall nominal power of more than 10 MWp. located in the municipalities Ebern in Unterfranken and Rohr, south of Thüringen, both solar farms were commissioned in December 2011. The solar farms were constructed by Gehrlicher Solar AG. The plant in Ebern disposes of a peak power of approx. 7.1 MWp, while the Rohr plant has a peak performance of approx. 4.7 MWp.

November / 2011 – KEE advises CEE on the acquisition of another solar farm in Bavaria, Germany

Hamburg based KEE, a renewable energy law firm, has advised Hamburg based Investment Company CEE on the purchase of a German solar farm. The solar farm is located at the Bavarian municipality Birkig and has been commissioned on 14 June 2011. It has a nominal power of 1,190 kilowatt-Peak (kWp). The solar farm has been constructed by Gehrlicher Solar AG.

Partner Kilian Libal represented the KEE Team and provided legal advice on this Transaction.

August / 2011 – KEE advises CEE on the purchase of a solar farm in Richelbach, Bavaria

KEE, a renewable energy law firm, has advised Hamburg based equity Investment company CEE on purchase of another solar farm in the Bavarian municipality Richelbach. The seller of the photovoltaic project is Ecolutions Solar Deutschland GmbH. The solar farm was constructed by GP Joule PV GmbH & Co. KG from Reußenköge and it has been commissioned on 30 December 2011. It’s peak power is up to 5.721,98 kilowatt peak (kWp).

July / 2011 – KEE advises CEE on the purchase of a further solar farm in Bavaria

The Hamburg law firm Kanzlei für Erneuerbare Energien (KEE) has advised CEE (Conetwork Erneuerbare Energien Holding GmbH & Co. KGaA) on the purchase of a further German solar farm. The solar farm was sold by its owner and general contractor, EEPro GmbH-Erneuerbare Energie Projektentwicklung. Located in the Bavarian community Speichersdorf, the solar farm possesses a peak performance of about 3.2 Megawattpeak (MWp) and has been in operation since June 30, 2010. The purchase of the solar farm had a transaction volume of EUR 9.1m and was affected by the sale and transfer of the interest in the operating company to CEE.

February / 2011 – KEE advises CEE on the purchase of a solar farm in Bavaria, Germany

The Hamburg law firm Kanzlei für Erneuerbare Energien (KEE) has advised CEE (Conetwork Erneuerbare Energien Holding GmbH & Co. KGaA) on the purchase of a German solar farm from RENERCO Renewable Energy AG. The solar farm in the Bavarian municipality Neufahrn has a nominal power of 2.3 mega-watt- peak (MWp) and began operating on 30 June 2010. The purchase of the solar farm, which had a transaction volume of EUR 7.3m, was effected by the sale and transfer of the interest in the operating company to CEE. The purchase of the solar farm in Neufahrn contributed to the sixfold increase in 2010 of CEE’s solar portfolio to an aggregate nominal power of 35 MWp.
